By accessing and using the services provided by Virtual Mind Tech ("we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
Virtual Mind Tech provides web and mobile application development services, including but not limited to custom software development, API development, cloud services, and related consulting services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.
When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for:
All projects will be defined by a written agreement or statement of work that outlines the scope, deliverables, timeline, and payment terms. Any changes to the project scope must be agreed upon in writing by both parties.
Payment terms will be specified in your service agreement. Generally, payments are due according to the schedule outlined in the agreement. Late payments may result in suspension of services or additional fees.
Upon full payment, ownership of the custom-developed code and deliverables will transfer to you, subject to any third-party licenses or open-source components used. We retain the right to use general knowledge and methodologies gained during the project.

To the maximum extent permitted by law, Virtual Mind Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.
We warrant that our services will be performed in a professional and workmanlike manner. We provide a warranty period as specified in your service agreement for bug fixes and corrections. Ongoing support and maintenance services are available under separate agreements.
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the project. This obligation survives the termination of the service agreement.
Either party may terminate a service agreement with written notice. Upon termination, you will be responsible for payment of all services rendered up to the date of termination. We reserve the right to terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties.
Any disputes arising out of or relating to these terms or our services shall be resolved through good faith negotiations. If a resolution cannot be reached, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.
We reserve the right to modify these Terms of Service at any time. We will notify users of any material changes by posting the new Terms of Service on this page and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Virtual Mind Tech operates, without regard to its conflict of law provisions.
